1. CAPITAL MARKET TRANSACTIONS (Primary & Seconday Markets)

The Nigerian Capital Market is principally segmented into two i.e. primary and secondary markets.

The primary market is the market where organisations can raise fresh capital through issuance of securities such as shares, debentures and bonds to the investing public while purchases and sales of securities originally issued in the primary market take place in the organised market called the secondary market which is represented by the Nigerian Stock Exchange.

ISS is a force to reckon with in the Nigerian Capital Market transactions through its high level of professionalism in the provision of prompt and adequate services in the market. The Company has capability to act as Issuing House, Stockbroker, Financial Advisor and Portfolio/Fund Managers.

2. MONEY MARKET ACTIVITIES

ISS is a major player in money market transactions such as discounting and rediscounting on short- term investment instruments like Bankers Acceptances and Commercial Papers. ISS also provides blue chip companies opportunities to raise short-term working capital to fund their operations.

The issuance of the first money market instrument, THE ISS PREMIER BOND, by a non-bank financial institution and which was approved by the Central Bank of Nigeria was handled by ISS in 1993.

3. PORTFOLIO/FUND MANAGEMENT

As professional fund managers approved by the Securities and Exchange Commission funds are placed with us under our fund management scheme. A minimum rate of return is guaranteed on funds placed under this scheme.

The fund under this scheme is invested in high yielding quoted investments on the stock market.

ISS has developed various schemes and products to provide optimum yield to investors on their investible funds.

ISS Nominees Limited, a wholly owned subsidiary of ISS holds investments on behalf of various clients.

4. DEBT CONVERSION AND ASSET TRADING

The Nigerian debt conversion programme is a debt management strategy established in July 1988 to among others, reduce the country’s external debt stock, encourage foreign capital in-flow, promote the creation and development of export oriented industries as well as increase Nigeria’s access to appropriate technology and external market.

Eligible external debts under the programme include Promissory Notes issued by the Central Bank of Nigeria and the Federal Ministry of Finance, the Nigerian Par Bonds and agreed proportions of the Paris Club debts.

The proceeds of conversion (usually at a premium over a direct cash exchange of the market worth of the debt instrument) could be used to fund Naira expenditures alone as cash grant to Nigerian Non-Governmental Organisations, to finance capital projects or as working capital, to acquire government securities or for portfolio investment.

ISS has been involved in packaging a number of successful applications on behalf of clients both within and outside the country.

Our roles in the debt conversion programme include advising on eligibility and appropriate structuring of projects; preparation, submission and follow-up of application with a view to securing approval from the Central Bank of Nigeria advising on bidding strategies for auction of the conversion rights at optimum discounts. We also advise on the packaging of appropriate investment instruments to be designed for the utilisation of conversion proceeds. In some cases, we help to source for Promissory Notes on behalf of prospective investors.

5. EQUIPMENT LEASING

This has gained wider acceptability since it provides alternative financing option for huge capital investment outlays.

ISS is involved in equipment leasing on a broad range of assets like generators, vehicles and office equipment. Our activities also include leasing for operators in the oil services sector of the Nigerian economy.

6. TRADE FINANCE ACTIVITIES

ISS finances Local Purchase Orders issued by reputable blue chip companies in virtually all sectors of the Nigerian economy. Letters of Credit are established for imported products while those orders that could be fulfilled locally are also executed regularly.

We also engage in warehouse finance activities through arrangements whereby goods are kept in bonded warehouse covered by warrants issued against such goods. These goods are thereafter released against cash payments.

ISS has acted as brokers to some companies requiring credit facilities from some financial institutions particularly banks

7. OIL AND GAS INDUSTRY

The oil and gas industry is one of the most preferred sectors of the economy. The industry is growing but not at a rate that is comparable with the international standards. Gas remains the focus of the economy from 2002 as the target is to diversify the economy from crude oil, generate more revenue and ensure a zero flare by 2008. It therefore means that a lot of work and billions of dollars would be involved in the industrial and power sectors. After so many years, gas production and consumption still wears a novelty look in Nigeria.
